These terms apply to every quote and agreement between Deeraf ("Deeraf", "we") and you ("the client"). Deeraf is the sole contracting party and is solely responsible for the services. A signed or accepted quote can add to or override these terms; where it does, the quote wins.
1. Quotes and scope
Every Tech Check and Build Sprint starts with a written quote that sets out the scope, price and delivery date. Quotes are valid for 30 days. Work outside the agreed scope is only done after you accept a separate quote for it.
2. Prices and payment
- Prices are quoted in the currency stated on your quote (USD by default, or EUR, GBP, CAD, AUD or CHF) and exclude applicable taxes.
- Prices shown on this website are indicative starting points. The quote is binding.
- Tech Checks are invoiced upfront.
- Build Sprints are invoiced 50% on acceptance and 50% on delivery.
- On Call is invoiced monthly in advance. Unused hours don't roll over.
- Invoices are payable within 14 days. Late payments may pause work and accrue statutory interest.
3. Tech Check guarantee
If a Tech Check report contains fewer than three issues that Deeraf rates as worth fixing, the Tech Check fee is refunded in full. A Tech Check fee is credited against a Build Sprint accepted within 30 days of the report.
4. Delivery and acceptance
Delivery dates assume timely access to the accounts, information and feedback the work needs. You have 7 days after delivery to report anything that doesn't meet the agreed acceptance criteria; we fix it at no cost. Build Sprints include 14 days of bug fixes after delivery.
5. On Call
On Call runs month to month. Either side can end it with 30 days' written notice.
6. Ownership
All code and deliverables made for you become yours once the related invoice is paid in full. Deeraf keeps the right to reuse general know-how and generic, non-confidential building blocks. Open-source components remain under their own licences.
7. Confidentiality
Deeraf keeps your business information, code and data confidential, during and after the engagement, and only uses it to deliver the work. We're happy to sign your NDA.
8. Subcontractors
Deeraf may involve trusted specialists in a project. Deeraf remains your only contracting party and stays fully responsible for their work and their confidentiality.
9. Use of AI tools
Deeraf uses AI tools to work faster. Everything delivered is reviewed before handover, and Deeraf takes the same responsibility for it as for any other work. Your confidential data is never put into tools that train on it.
10. Liability
Deeraf's total liability under an engagement is limited to the amount you paid for that engagement in the previous 3 months, except in cases of intent or gross negligence. Deeraf is not liable for indirect damage such as lost profit or lost data, or for problems caused by third-party services.
11. Cancellation
You can cancel a Build Sprint at any time. You pay for the work done up to that point, and you receive everything produced so far.
12. Governing law
These terms are governed by the laws of the jurisdiction in which Deeraf is registered. Disputes go to the competent courts there, unless mandatory law where you are based says otherwise.
